We operate this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a custom furniture shopping experience (the "Services"). Onyx Resin is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use or access our Services.

1. Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. To use the Services, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide is correct, current, and complete, and that you have all rights necessary to provide this information. You are solely responsible for maintaining the security of your account credentials and for all of your account activity.

2. Our Products

We have made every effort to provide accurate representation of our products in our online store. However, please note that colors or product appearance may differ from how they appear on your screen due to your device settings. The pieces shown are examples of our work, and each finished piece is crafted individually based on the specifications agreed with the customer. We do not warrant that the appearance or quality of any products purchased will be identical to the examples shown.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products we offer to any person, geographic region, or jurisdiction.

3. Orders

When you submit a quote request or place an order, you are making an offer to purchase. Onyx Home & Design LLC reserves the right to accept or decline any order at its discretion. A binding order is created only when you approve the design in writing and pay the required deposit.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export, unless a trade arrangement has been agreed in writing.

4. Prices and Billing

Prices are stated in US dollars unless otherwise noted. The price quoted to you in your individualized quote is locked in for that order. Unless otherwise expressly stated, posted prices do not include customs duties or import taxes, which are the responsibility of the recipient.

Payment for custom pieces is split into two parts: a one-third deposit when the design is approved, and the remaining balance before delivery. Both payments must be received before the piece ships.

You agree to provide current, complete, and accurate purchase, payment, and account information. You represent and warrant that the payment information you provide is true and correct, you are authorized to use the payment method, and you will pay all charges incurred.

5. Shipping and Delivery

Production times and shipping times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer the piece to the carrier, title and risk of loss passes to you, subject to the full insurance coverage we provide on every shipment. See our Shipping Policy for full details.

6. Intellectual Property

Our Services, including all trademarks, brands, text, images, designs, and the selection and arrangement thereof, are owned by Onyx Home & Design LLC or its licensors and are protected by U.S. and foreign copyright and intellectual property laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, or republish any of this content without our prior written consent.

The name "Onyx Resin" and all related logos and product names are trademarks of Onyx Home & Design LLC. You must not use these without our prior written permission. All other names, logos, and trademarks on the Services are the property of their respective owners.

7. Third-Party Links

The Services may contain links to websites operated by third parties (including embedded third-party functionality such as form builders and analytics). We are not responsible for the content or accuracy of any third-party materials. If you decide to access third-party sites, you do so at your own risk.

8. Relationship with Shopify

Onyx Resin is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make in our Store are made directly with Onyx Home & Design LLC. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sales between you and us, including any injury, damage, or loss resulting from purchased products and services. You hereby release Shopify and its affiliates from all claims, damages, and liabilities arising from your purchases.

We reserve the right to correct any errors and to update information or cancel orders if any information is inaccurate, at any time without prior notice, including after you have submitted your order.

WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ONYX HOME & DESIGN LLC AND ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND. OUR MAXIMUM LIABILITY FOR ANY CLAIM RELATED TO A PRODUCT IS LIMITED TO THE AMOUNT PAID FOR THAT PRODUCT.

16. Indemnification

You agree to indemnify, defend, and hold harmless Onyx Home & Design LLC, Shopify, and our affiliates, officers, directors, employees, agents, and licensors from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising from (1) your breach of these Terms, (2) your violation of any law or third-party rights, or (3) your access to and use of the Services.

17. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed without affecting the validity of the remaining provisions.

These Terms, together with any policies posted on this site, constitute the entire agreement between you and us regarding your use of the Services, superseding any prior agreements. The failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver.
